Background of the investigation
On February 23, 2026, Driven Brands’ audit committee determined that the Company’s previously issued financial statements for fiscal years 2023 and 2024, as well as several quarterly reports through September 27, 2025, contained material errors. As a result, the Company disclosed that those financial statements should no longer be relied upon and will need to be restated. The report of the Company’s independent auditor on those financial statements and on the effectiveness of internal control over financial reporting should also no longer be relied upon.
Driven Brands further disclosed that its review of the financial statements and evaluation of internal controls over financial reporting is ongoing and that additional material errors may be identified.
Following this disclosure, Driven Brands’ shares declined more than 30% in pre-market trading on February 25, 2026.
