SHAREHOLDER NEWS: Johnson Fistel Investigates Proposed Sale of HireRight; Are Shareholders Getting a Fair Deal?

Shareholder rights law firm Johnson Fistel, LLP has launched an investigation into whether the board members of HireRight Holdings (NYSE: HRT) breached their fiduciary duties in connection with the proposed sale of the Company to the investment funds affiliated with General Atlantic and Stone Point Capital.

On February 16, 2024, HireRight announced that it had entered a deal to merge with General Atlantic and Stone Point Capital. Under the terms of the deal, HireRight shareholders will receive $14.35 per share in an all-cash offer.

The investigation concerns whether the HireRight board failed to satisfy its duties to the Company shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for HireRight shares of common stock.
