Complaint Allegations
A previously filed securities class action complaint alleges that Defendants made materially false and misleading statements and/or failed to disclose material information concerning the independence of Sun Communities’ Board of Directors, related-party transactions, and the Company’s internal controls and financial disclosures. Specifically, the complaint alleges that Defendants failed to disclose: (1) relationships and financial transactions involving the Company’s chief executive officer, certain directors, and their families; (2) an alleged $4 million loan to the chief executive officer from the family of a director who served on the Audit Committee and chaired the Compensation Committee; (3) additional alleged loans, insider transactions, and other related-party dealings; and (4) that, as a result, Defendants’ statements concerning the independence and integrity of the Board, the Company’s governance practices, and its internal controls were materially misleading and/or lacked a reasonable basis.
